We See Company LLC
LICENSE AGREEMENT
This is a legal document between you, the user, and We See
Company ("WESEECO"). By using this program, you agree to be
bound by the terms of this Agreement.
LICENSE GRANT
WESEECO grants you a non-exclusive,
nontransferable limited license to use the enclosed Product on
one computer unless further agreements with WESEECO specify other
use.
COPYING
The Product is licensed to you by WESEECO
and is protected by United States copyright law and international
treaty provisions. You may make one archive copy of the
electronic Product unless other agreements exist with WESEECO.
Any other copying of the Product (including the documentation) is
prohibited.
OTHER RESTRICTIONS
Except as stated in this Agreement, you may not (i) loan, lease, transfer or distribute the Product,
(ii) reverse engineer or otherwise attempt to discern the code of
the Product, (iii) modify the Product or (iv) use the Product as
a component of or as a basis for any material offered for sale,
license or distribution unless further agreements with WESEECO
specify otherwise. You agree to notify your employees and agents
who may have access to the Product of the restrictions contained
in this Agreement and to ensure their compliance with these
restrictions.
TITLE
Title to the Product is not transferred to you.
Ownership of the enclosed Product is vested in WESEECO, subject
to the rights granted to you in this Agreement.
LIMITED WARRANTY and EXCLUSIVE REMEDIES
WESEECO warrants
that the medium upon which the electronic Product is provided to
you will be free from defects in material and workmanship under
normal use for a period of 90 days from your date of receipt.
Your exclusive remedy for breach by WESEECO of its limited
warranty will be replacement of any defective media returned
within the warranty period or, if no replacement which is free of
defect is available, refund of the license fee you paid.
DISCLAIMER
EXCEPT AS STATED IN THIS AGREEMENT, THE PRODUCT
IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF PERFORMANCE
OR MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. YOU BEAR
ALL RISK RELATING TO QUALITY AND PERFORMANCE OF THE PRODUCT.
WESEECO does not warrant that the Product will meet your
requirements, operate without interruption or be error free.
LIMITATION OF LIABILITY
In no event will WESEECO be liable
for any lost profits or other damages, including direct,
indirect, incidental, special, consequential or any other type of
damages, arising out of this Agreement or your use or inability
to use the Product, even if WESEECO has been advised of the
possibility of such damages. Your exclusive remedy for any claim
related to this Agreement or to your use of the Product will be
refund of the fee paid for the Product.
GENERAL PROVISIONS
Should any provision of this Agreement be
held to be void, invalid, unenforceable or illegal by a court,
the validity and enforceability of the other provisions will not
be affected. Failure of a party to enforce any provision of this
Agreement will not constitute or be construed as a waiver of such
provision or of the right to enforce such provision. This
Agreement will be governed by and construed under the laws of the
State of Minnesota.
